1. Who provides the service
The services described here are provided by NeuronaIA, the trade name of a sole proprietor established in the United Mexican States. For any question you can write to us at info@neuronaia.cloud
2. Who these terms are for
Our services are contracted between businesses and professionals for their commercial activity. They are not aimed at consumers contracting outside the scope of their business.
These are the general conditions. Each project is also formalised in a signed agreement setting out scope, amounts and dates. Where the signed agreement says otherwise, the agreement prevails.
3. What you are contracting
We build custom software: management systems, websites, mobile applications and web applications, along with the setup of automated customer service assistants. Every project is built for a specific client from a scope agreed in writing.
We separately offer subscription services, which carry their own terms published on each product site.
4. How we charge
A project is charged under up to three concepts:
- Implementation: a one-time payment for development and launch. It may be settled in instalments on the dates set out in the agreement.
- Monthly fee: maintenance, support and minor changes for as long as the service is active.
- Annual server fee: rent for the space where the system runs, where applicable.
The monthly fee does not run while the implementation is still being paid in instalments: it starts the month after the last instalment of the plan.
5. Payment methods and currency
We accept bank transfer and card payment. Card payments are processed through Stripe; we never store your card details.
Each charge is issued in the currency agreed in the contract. Clients outside Mexico may be charged in US dollars, Canadian dollars or euros. The charge appears on your statement as NEURONAIA.
6. Delivery
Delivery is entirely digital. The timeframe is agreed in writing before any charge and depends on the scope of each project.
The clock starts when we receive the first payment and the materials the project needs from the client, such as copy, images, logos, credentials and data. Delays in providing those materials move the committed date by the same amount.
7. Warranty
For 30 calendar days after delivery we fix, at no cost, any defect in the original work: malfunctions, items that do not match the agreed scope, or faults attributable to the development.
The warranty does not cover scope changes, new features, or faults caused by third-party services or by modifications made by the client.
8. Support and changes
The monthly fee covers system maintenance, user support and minor changes, meaning adjustments to content, copy, prices, images and corrections.
Structural changes, meaning new features or modifications to the original scope, are quoted separately.
9. Term and termination
The service runs month to month, with no minimum commitment.
- To end the service, written notice 15 calendar days in advance is enough.
- The monthly fee has a 5 calendar day grace period from its due date. After that period without payment, the service may be suspended.
When the relationship ends we hand over the system source code and a backup of the database. If we registered the domain and the client wants to keep it, it is transferred to their account and renewals become theirs.
10. Infrastructure and use
While the service is active, the server, hosting and domain may be held in the name of NeuronaIA, and the client receives the right to use the system for the duration of the service.
Costs of third-party services consumed by the system, such as artificial intelligence processing or messaging, are borne by the client where the contract so provides.
11. Refunds
Implementation payments cover work made to measure that cannot be reused with another client. Once development has started, amounts paid are applied to the work carried out.
The annual server fee is non-refundable, as it corresponds to rent contracted in advance.
If you believe a charge is incorrect, write to us at info@neuronaia.cloud before disputing it with your bank. We resolve queries directly and, in most cases, faster.
12. Governing law and jurisdiction
These terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the competent courts of the State of Oaxaca, unless the signed project agreement states a different jurisdiction.
